01About us and these terms
This website and the ONEPUBS trade ordering platform are operated by ONEPUBS PLATFORM LTD, a company registered in England and Wales under company number 13150808. We trade as ONEPUBS.
01978 356983
These terms and conditions ("these terms") govern the supply of goods and services by us to you. Please read them carefully before opening a trade account or placing an order. By placing an order you confirm that you accept these terms.
Our Refund Policy and our Privacy Policy are separate documents and are incorporated into these terms by reference. Sections 10 and 14 below summarise them.
02Who these terms apply to
We supply to businesses only. Our customers are licensed premises, clubs, hospitality operators and other trade buyers. We do not sell to consumers.
By placing an order you confirm that you are acting in the course of a business and that you have authority to bind the business named on the trade account. Because this is a business-to-business supply, the statutory rights that apply to consumers — including the right to cancel a distance contract during a cooling-off period — do not apply to you.
03Trade account approval
Access to the ONEPUBS order portal is restricted to approved trade account holders. Before an account is opened we may ask for evidence of your business, including its registered details, premises licence, and trading references.
We may accept or decline an application at our discretion. Account credentials must be kept confidential and must not be shared outside your business. You are responsible for orders placed using your credentials.
04Placing an order
Product listings, price lists and portal content are an invitation to treat and not an offer. Your order is an offer to buy. A contract is formed only when we confirm acceptance of your order in writing or by email, or when we deliver the goods, whichever happens first.
We may decline an order, or part of an order, where goods are unavailable, where a price or description error has occurred, where delivery is outside our service area, or where your account is on hold.
Orders placed after our published cut-off time of 11:59pm are processed on the next working day. Minimum order value is £600 excluding VAT.
05Prices and VAT
Prices shown on this website and in the order portal are exclusive of VAT unless stated otherwise. VAT is charged at the prevailing rate and shown separately on your invoice. Duty, deposits on returnable containers and delivery charges are shown separately where they apply.
Prices are those in force at the date we accept your order. Wholesale drinks prices move with supplier and duty changes, and we may amend published prices at any time before an order is accepted. If a price changes after an order is accepted we will honour the accepted price.
If an obvious pricing error is discovered we will contact you before dispatch and you may confirm the order at the corrected price or cancel it at no charge.
06Payment
Unless we have agreed credit terms with you in writing, orders are payable in full at the point of order.
Card payments
We accept Visa, Mastercard and American Express. Card payments are taken through a secure hosted payment page provided by Dojo, our payment service provider. Your card details are entered directly into Dojo's secure page over an encrypted (HTTPS) connection. We never see, handle or store your full card number, expiry date or security code. Where your bank requires it, you will be asked to complete a 3-D Secure authentication step.
You can read a step-by-step description of the ordering and payment process on our How ordering and payment works page.
Credit accounts
Where we have agreed credit terms in writing, our standard terms are payment within 7 days of the order date, unless a different period is agreed with you in writing. We may withdraw or vary credit terms at any time on notice. We reserve the right to charge interest and reasonable recovery costs on overdue invoices under the Late Payment of Commercial Debts (Interest) Act 1998.
You may not withhold or set off any sum against an invoice without our prior written agreement.
07Delivery
Delivery days and lead times for your venue are confirmed when your account is opened and are shown in the order portal. Delivery dates are estimates and time is not of the essence.
You must ensure that a competent person is available at the delivery address to receive, check and sign for the goods, and that safe access is available for the delivery vehicle and for cellar drops. Where a delivery cannot be completed because access or a signatory is not available, we may charge a reasonable re-delivery charge.
We may deliver in instalments. A short or delayed instalment does not entitle you to cancel the remainder of the order.
08Title and risk
Risk in the goods passes to you on delivery to the address on your order.
Title to the goods does not pass to you until we have received payment in full and in cleared funds of all sums owed by you to us on any account. Until title passes you must store the goods so that they remain identifiable as ours, must not remove any identifying marks, and must keep them insured. We may at any time revoke your right to sell or use the goods and may enter any premises where they are stored to recover them.
09Shortages, damage and rejected goods
Please check every delivery against the delivery note before signing. Shortages, damaged items and incorrect goods must be noted on the delivery note at the point of delivery and reported to us within 24 hours of delivery.
Where goods are rejected, we will collect them, and we will at our option replace them, issue a credit, or issue a refund in line with our Refund Policy.
10Refund policy
Our full Refund Policy — covering shortages, damage, cancellations, returnable containers and how refunds are paid — is set out at onepubsuk.com/refunds.html and forms part of these terms.
In summary: refunds and credits are available for goods that are short-delivered, damaged in transit, incorrectly supplied, or not of satisfactory quality. Card refunds are made to the card originally used, through Dojo. Because this is a business supply, there is no general right to return goods that have simply been ordered in error, although we will consider such requests at our discretion.
11Gaming machines and equipment services
Where we arrange the supply, siting, servicing or removal of gaming machines, amusement machines or other equipment, the specific commercial terms — including the income share, term, and responsibilities of each party — are set out in the separate written agreement for that venue. Those terms take precedence over these terms where they conflict.
You are responsible for holding and maintaining all licences, permits and permissions required to site and operate gaming machines at your premises, and for compliance with the Gambling Act 2005 and the conditions of your premises licence.
12Alcohol and other age-restricted goods
We supply alcohol and other age-restricted products to licensed trade customers only. You confirm that you hold, and will maintain throughout our relationship, all licences and authorisations required to buy, store and sell those goods, and that you will produce evidence of them on request.
We may suspend or cancel supply immediately if a licence is suspended, revoked, surrendered or not renewed.
13Our liability
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for breach of the terms implied by section 12 of the Sale of Goods Act 1979, or for any other liability that cannot lawfully be limited or excluded.
Subject to that, we are not liable to you for loss of profit, loss of sale or business, loss of contract, loss of anticipated saving, loss of goodwill, or any indirect or consequential loss, however arising.
Subject to that, our total liability to you in respect of all losses arising under or in connection with a contract between us, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the price paid for the goods or services giving rise to the claim.
These terms set out the full extent of our obligations and liabilities in respect of the goods and services we supply. All warranties, conditions and other terms implied by statute or common law are, to the fullest extent permitted by law, excluded.
14Privacy policy and data protection
Our full Privacy Policy — explaining what personal data we collect, why, our lawful bases, how long we keep it and your rights under the UK GDPR — is set out at onepubsuk.com/privacy.html and forms part of these terms.
Each party will comply with its obligations under the UK GDPR and the Data Protection Act 2018. We do not store your customers' card data, and we do not receive full card numbers from our payment service provider.
15Suspension and termination
We may suspend supply, suspend portal access, or terminate our agreement with you immediately on written notice if you fail to pay any sum when due, if you breach these terms and do not remedy the breach within 14 days of being asked to, if you become insolvent or a step is taken towards your winding up or administration, or if a licence required for your business is lost.
On termination all sums owed to us become immediately due.
16Events outside our control
We are not liable for any failure or delay in performing our obligations where that failure or delay results from events beyond our reasonable control, including supplier failure, transport or fuel disruption, industrial action, extreme weather, fire, flood, epidemic, or the acts of any government or public authority. We will let you know as soon as reasonably possible and will take reasonable steps to minimise the effect.
17General
These terms, together with your order, our order confirmation, our Refund Policy, our Privacy Policy and any separate written agreement for gaming or equipment services, form the entire agreement between us and supersede any prior arrangement, understanding or representation.
We may update these terms from time to time. The version in force at the date we accept your order applies to that order. We may assign or subcontract our rights and obligations; you may not do so without our written consent.
If any provision of these terms is found to be unlawful or unenforceable, the remaining provisions continue in force. A failure or delay by us in enforcing any right is not a waiver of that right. A person who is not a party to a contract between us has no rights under the Contracts (Rights of Third Parties) Act 1999.
18Governing law and jurisdiction
These terms and any dispute or claim arising out of or in connection with them, their subject matter or their formation (including non-contractual disputes or claims) are governed by and construed in accordance with the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
